1. Website and Project Agreements
This website provides information about Wellkins Solution LLC and its services. An inquiry, estimate, or discussion does not by itself create a paid project or obligate either party to proceed.
Project work begins when both parties accept a written proposal, statement of work, or other project agreement. That document should identify the scope, deliverables, fees, schedule, payment arrangements, acceptance process, and any project-specific terms. If these website terms conflict with an accepted project agreement, the project agreement controls for that project to the extent of the conflict, subject to applicable law.
2. Services and Changes
Services may include software and application development, website design and development, cloud and API integration, automation, digital consulting, maintenance, and related digital services. The services included in a particular engagement are only those described in the accepted project agreement.
Requests that change the agreed scope, deliverables, schedule, or fees must be approved in writing by both parties before the changed work proceeds. Third-party products, subscriptions, hosting, and usage charges are separate unless the project agreement says otherwise.
3. Customer Responsibilities
You agree to provide accurate requirements, timely decisions, materials, access, and approvals that the project agreement assigns to you. You are responsible for having the authority and rights needed to provide those materials and access, and for reviewing them for accuracy and suitability.
Customer delays, changed requirements, or unavailable third-party services may affect the schedule, scope, or cost as described in the project agreement. We will communicate material impacts and agree any change in scope or fees in writing.
4. Delivery and Acceptance
Unless the project agreement specifies a different period, you may review each delivered deliverable for seven calendar days after delivery and notify us in writing of any material failure to meet the agreed requirements. We will review the reported issue and, if we verify a defect within the agreed scope, have a reasonable opportunity to correct it in accordance with the project agreement. Silence or failure to respond during the review period does not by itself waive legal rights or remedies. Any acceptance process remains subject to applicable law.
5. Fees, Advance Payments, and Installments
Project fees, currency, applicable taxes, and due dates are stated in the accepted proposal, invoice, or project agreement. Depending on the engagement, we may require an advance payment before work begins or before project capacity is reserved. The agreement will state how that payment is applied to the project.
Milestone payments are due according to the agreed milestone schedule. Installment arrangements, when offered, divide the agreed project fees into payments on the dates and under the conditions stated in writing; they are not recurring subscriptions. We will not enroll you in recurring or subscription billing without your express authorization, and any such authorization will identify the recurring amount or calculation, frequency, and cancellation method. An installment schedule is not a change to project scope or an automatic acceptance of a milestone. Please contact us promptly if you believe an invoice is incorrect.
The pricing page provides a PayGlocal hosted checkout. Its disclosure states that payments for services provided by Wellkins Solution LLC are processed by Evelkins Infotech Solution (OPC) Private Limited and that this name will appear during secure checkout. This description does not assign any additional legal role to that entity. Follow the payment instructions in your project documents and the provider checkout; do not send card details through this website.
6. Deliverables and Intellectual Property
The accepted project agreement governs ownership, licenses, and delivery of project-specific work, source files, pre-existing materials, customer materials, and third-party components. No ownership transfer or license beyond the rights stated in that agreement is implied by these website terms.
Each party is responsible for having the rights and permissions needed for materials it supplies. Third-party components remain subject to their own license terms.
7. Third-Party Services and Confidentiality
Projects may rely on third-party hosting, cloud platforms, software, APIs, or payment services. Those services are controlled by their providers, may change or become unavailable, and may carry separate fees and terms. The project agreement should identify material dependencies and responsibility for accounts, access, and charges.
Any project-specific confidentiality obligations should be set out in a written agreement. Do not submit passwords, payment credentials, or sensitive access details through the public contact form.
8. Cancellation and Refunds
Cancellation, refund, non-delivery, and payment-correction requests are handled under the accepted project agreement, the Refund & Cancellation Policy, and applicable law. No term here limits consumer or other rights that cannot legally be waived.
9. Warranties and Liability
The project agreement should state any project-specific warranty, support, or service-level commitments. Except for commitments expressly made in that agreement, the website describes services generally and does not guarantee a particular business outcome, uninterrupted third-party service, or compatibility beyond the agreed requirements.
To the extent permitted by applicable law, each party’s aggregate liability arising out of or relating to affected services will not exceed the fees paid for those affected services during the 12 months before the event giving rise to the claim. This proposed limit does not apply to liability that cannot legally be limited or excluded, and does not limit any non-waivable consumer rights or remedies. The applicable project agreement may set out a different enforceable allocation.
10. Website Use and Disputes
Use this website lawfully. Do not disrupt its operation, attempt unauthorized access, or use it to submit unlawful, misleading, or harmful material. Website content is informational and may be updated without notice.
The proposed governing law for contractual disputes is the law of the State of Wyoming, without regard to conflict-of-law rules, and the proposed forum is the state or federal courts located in Wyoming. These terms are subject to mandatory consumer protections, any mandatory forum rules, and the enforceability of this provision in the circumstances. Nothing in this section restricts any non-waivable rights or complaint processes available under applicable law.
11. Changes and Contact
We may update these website terms by posting a revised version. The last-updated date above identifies when this version was last updated. Changes to an existing project agreement require the parties’ written agreement. Contact Wellkins Solution LLC:
